1. Agreement to Terms
By accessing or using Kiros Technology Pte. Ltd. ("Kiros", "we", "us", or "our") advisory platform and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Services.
2. Description of Services
Kiros provides a compliance-first advisory platform designed for financial advisors in Singapore. Our Services include:
- Compliance automation and MAS guideline adherence tools.
- Investment optimisation and portfolio analysis.
- Client relationship management features.
- Document generation and data management.
- Integration with third-party financial services platforms.
3. User Accounts and Registration
To access certain features of the Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Maintain the security of your account credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorised use of your account.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws or regulations in Singapore or your jurisdiction.
- Infringe upon the intellectual property rights of Kiros or any third party.
- Transmit any harmful code, viruses, or malicious software.
- Attempt to gain unauthorised access to the Services or related systems.
- Use the Services to provide services to third parties without our written consent.
- Reverse engineer, decompile, or disassemble any part of the Services.
5. Intellectual Property Rights
The Services and all content, features, and functionality are owned by Kiros and are protected by Singapore and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Services in accordance with these Terms.
6. Data and Privacy
Your use of the Services is also governed by our Privacy Policy and PDPA Compliance Statement. We collect, use, and protect your data in accordance with Singapore's Personal Data Protection Act 2012 (PDPA). You retain all rights to your client data, and we will not use your data for any purpose other than providing the Services to you.
7. Fees and Payment
Access to certain features of the Services requires payment of fees. You agree to:
- Pay all fees associated with your subscription plan.
- Provide accurate and complete billing information.
- Authorise us to charge your designated payment method for recurring fees.
- Pay all applicable taxes, including GST.
- All fees are non-refundable unless except as required by law or as expressly stated in your subscription agreement.
8. Compliance and Regulatory Matters
Whilst Kiros provides tools to assist with MAS compliance, you remain solely responsible for ensuring your advisory activities comply with all applicable laws and regulations. Kiros does not provide legal, regulatory, or compliance advice. You should consult with qualified professionals regarding your compliance obligations.
9. Limitation of Liability
To the maximum extent permitted by Singapore law, Kiros shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to your use of the Services. Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Kiros and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.
11. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately. You may cancel your subscription at any time through your account settings.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
